What is Form 8832?
Form 8832, Entity Classification Election, lets an eligible entity choose how it's classified for federal tax purposes: as a corporation, a partnership, or an entity disregarded as separate from its owner. It's also used to change a classification the entity already has.
Do I need to file Form 8832?
Only if you don't want the default classification. A domestic LLC with two or more members is treated as a partnership by default, and a single-member LLC is disregarded as separate from its owner. If those defaults work for you, there's no need to file.
If your goal is S corporation status, you'd generally file Form 2553 instead, which covers the corporate election as well.
When does a Form 8832 election take effect?
You pick the effective date on the form. It can't be more than 75 days before the date you file or more than 12 months after it. If you don't enter a date, the election generally takes effect on the date you file. Once an entity changes its classification, it generally can't change again for 60 months.
Who has to sign Form 8832?
Either every member of the entity, or an officer, manager, or member authorized to sign for all of them, signs the consent statement. If the election is retroactive, anyone who was an owner during the period it covers but isn't an owner when it's filed also has to sign.
How do I fill out Form 8832?
Start with the entity's name, EIN, and address. In Part I, say whether this is an initial classification or a change, answer the questions about prior elections and ownership, choose the classification you want, and enter the effective date.
Part II is only for entities requesting late election relief, where you explain the reasonable cause for filing late. Then have the right people sign the consent statement.
